Essential Job Functions: Include but are not limited to the following: (Management reserves the right to add or modify the duties and responsibilities at any time.)

  • Provide legal thought leadership and strategic advice including best practices in the legal field, all within the organization’s stated corporate values.
  • Efficiently direct the workflow of outside legal counsel on matters requiring external expertise or additional legal support/capacity.
  • Corporate Governance: preparation of Board of Managers meeting materials, drafting meeting minutes, developing resolutions, and corporate governance and compliance filings. Advise and assist on corporate governance issues, including assisting management in interactions with investors.
  • Compliance: responsible for the Company’s compliance program, including the creation and enhancement of company policy, compliance training, and conducting internal investigations. Lead state and federal regulatory compliance for all locations.
  • General Corporate: oversees and manages company’s equity transactions, including management of the company’s Cap Table, and other shareholder governance as required.
  • Mergers & Acquisitions:  develops legal strategy in collaboration with outside legal counsel on M&A transactions, performs due diligence and supports negotiations in acquisitions and corporate development projects, including joint ventures.
  • Compensation and Benefits: provide advice and counseling to HR function and business leaders on employee compensation and benefits legal issues, including executive compensation arrangements and incentive compensation plans (cash and equity).  Develop and draft employment contracts, including but not limited to Employment Agreements, Equity Agreements, Purchase Agreements, Pledge Agreements, and Promissory Notes
  • Provides corporate legal support and other related duties as requested.
  • Perform other related duties as required. 

Education and/or Experience:

To perform this job successfully, an individual must be able to perform each essential duty satisfactorily.  The requirements listed below are representative of the knowledge, skill, and/or ability required. 

  • Juris Doctorate from an ABA-accredited law school with a minimum of 8 years of legal practice experience.
  • Prior in-house experience helpful.
  • Bar qualification in Kansas or ability to become licensed to practice law in Kansas.
  • An excellent understanding of complex commercial contracts and a broad range of experience in other legal subject matter areas.
  • Sound business judgment, clear communication skills and strategic thinking with a consultative approach. Flexibility, initiative and willingness to work on a broad variety of legal matters.
  • Hard working, problem-solving, detail-oriented and able to manage numerous projects simultaneously under deadline pressure.
  • Excellent interpersonal skills and team-oriented 

Physical Requirements: 

  • While performing the duties of this job, the employee is occasionally required to sit, stand, walk, reach with hands and arms, and stoop, kneel, crouch, or crawl. 
  • The employee must frequently lift and/or move up to 10 pounds and occasionally lift and/or move up to 25 pounds.  Specific vision abilities required by this job include close vision.
